About

Donna has many years experience in the proxy industry. For the past twenty-four years Donna has worked at Morrow Sodali LLC and heads up one of Morrow Sodali’s proxy solicitation teams.

Donna’s experience and expertise lies in assisting management of Fortune 100, midsize and small cap corporations with their annual/special shareholders’ meetings, proxy contests, friendly/unfriendly takeovers, mergers and acquisitions, bankruptcies/restructurings and consulting on corporate governance issues. Donna has successfully assisted in closing multimillion dollar and multibillion dollar mergers, such as, AT&T with/into SBC, Aviall with/into Boeing, Lucent Technologies with/into Alcatel, CommScope with/into The Carlyle Group, Novell, Inc. with/into The Attachmate Group, Central Vermont Public Service with/into Gaz Metro, Sunoco Inc. with/into Energy Transfer Partners, etc.

Further to the above, Donna has extensive experience with Special Purpose Acquisition Companies (SPACs). Since their inception, Donna has worked on over 500 business combination meetings and extensions combined.  Donna is instrumental in providing strategic advice and orchestrating successful outcomes. Recent transactions include: Social Capital Hedosophia Holdings Corp. II with Opendoor Technologies Inc., Diamond Eagle Acquisition Corp. with DraftKings, Inc., Graf Industrial Corp with Velodyne Lidar, Inc., Collier Creek Holings with Utz Brands Inc., Tortoise Acquisition Corp. with Hyliion Holdings Corp., Forum Merger II Corporation with Tattooed Chef, Inc., etc. 

Donna is a member of The Society for Corporate Governance and has given presentations on proxy issues and corporate governance matters to Society members, as well as to other groups in the industry.
