Eileen Nugent

Eileen Nugent is Of Counsel at Skadden, Arps, Slate, Meagher & Flom, having worked previously as a M&A partner resident in the NY office and as a Global Co-Head of Skadden’s Transactions Practices. Over the years, Eileen has worked on a wide variety of acquisitions and dispositions of companies, subsidiaries and pisions, both public and private, hostile and negotiated, in the United States and around the world, representing the full range of transactional parties. She has been viewed as a senior legal, business and strategic adviser by her clients in these transactions as well as more generally in the areas of corporate governance and conflict-of-interest situations, including shareholder activism, proxy contests and dealings with significant stockholders. In June 2019 she was appointed an Adviser on the American Law Institute’s recently undertaken Restatement of the Law, Corporate Governance project.

As a Global Co-Head of Skadden’s Transactions Practices, Eileen was responsible for management of all of the Firm’s corporate practices in M&A, finance, real estate, bankruptcy and restructuring and intellectual property in the Americas. Eileen had also served in increasingly significant Firm management roles during her career, including as member of the firm’s Policy and Partner Compensation committees and as the Head of its New York office.

Eileen is a frequent lecturer and panelist for many legal and business organizations and for many years was a vice-chair of the Tulane M&A Institute, a very widely attended US annual M&A conference. She has taught selected M&A classes at several law schools including Harvard and Cornell, and has been an adjunct professor at the University of Virginia for many years and now at the University of Pennsylvania and New York University schools of law. She is a co-author of a well-known two-volume treatise titled “Negotiated Acquisitions of Companies, Subsidiaries and pisions.”

Eileen holds an A.B. from Cornell University and a J.D. from Brooklyn Law School.
