DFIs and Policymakers

The Morrow Sodali Board & Governance team (formerly Nestor Advisors) has been a preferred provider of governance services to many development finance institutions, including the IFC, the EBRD, FMO, Proparco, DEG, IFU and IDB Invest, and their investees.

We also have an extensive track record advising policymakers on the development of national or international governance norms and their implementation in developed and emerging markets.

Our experience in this field includes:

Review of DFI governance organization and internal policies

We have evaluated the corporate governance action plan and the organizational fitness of the corporate governance division of several DFIs. We have developed templates for the evaluation of portfolio financial institutions and the assessment of country governance frameworks for leading multilaterals.

Pre- or post-investment corporate governance assessments

We have assisted several multilateral and national DFIs with corporate governance assessments/due diligence and board evaluations of actual or prospective investees across multiple sectors.

Development of governance codes and policies

We have taken important advisory assignments in the development and implementation of the national corporate governance codes and have assisted several central banks in the development of their rule book as regards corporate governance of banks. Our team has also been an active commentator on the development of important governance policies by the OECD, the Walker Review and the Parliamentary Commission on Banking in the UK, the Basel Committee on Banking Supervision and the EU Commission.

Training for investment officers and nominee directors

Several DFIs and other investment institutions regularly request the organization of training for their investment officers and nominee directors.
